Alfred Customer Terms

Version 1.0 · Effective 1 October 2026

These terms apply between 0123 Digital Pte. Ltd. (UEN 202326211G), trading as 01 Digital (“we”, “us”), and the business that subscribes to Alfred (“you”). Alfred is our hosted AI assistant for customer messaging, bookings and related workflows. Alfred is for businesses, not consumers.

1. Your agreement

1.1

Your agreement with us consists of these terms and your order. An order is either the plan and add-ons you buy through Alfred’s checkout, or a written order or agreement signed by both of us.

1.2

Custom work means workflows, integrations, documents or software that we build for you beyond Alfred’s standard features and configuration. It is agreed in a separate written agreement signed by both of us, which sets its scope, fees and additional terms. These terms continue to apply to your Alfred subscription.

1.3

If documents conflict, a signed order prevails for the matters it expressly addresses, then these terms. Section 9 prevails on the processing of personal data unless a signed order expressly says otherwise.

1.4

The person who accepts an order confirms that they are at least 18 and authorised to bind your business, and that your business uses Alfred for business purposes. Your order records the version of these terms you accepted, and you can see it in Alfred’s billing area. Staff logins and routine use do not create a new agreement or change an existing one.

2. Plans and plan changes

2.1

Paid plans. Each plan includes a monthly conversation allowance and the features shown at checkout or in your order. Subscriptions run month to month with a minimum term of one billing month, unless your order states a longer minimum term. Orders that include custom work have a minimum term of three billing months, unless the signed agreement says otherwise.

2.2

Free plan. Where we offer a free plan, it includes a limited allowance and is provided without a service commitment. We may change or withdraw the free plan on 30 days’ notice.

2.3

Upgrades take effect immediately. We charge the new plan’s full monthly price at once and add its allowance to the unused balance of your current billing month. Your billing date does not change.

2.4

Downgrades and removals. A move to a smaller plan, or the removal of a recurring add-on, takes effect from your next billing date. Until then you keep your current plan and balance.

3. Fees and payment

3.1

Prices are in Singapore dollars and exclude GST unless stated. We add GST and other applicable taxes at the prevailing rate.

3.2

Subscriptions are billed monthly in advance. Your first payment is taken when you check out, or on the date stated in your signed order, and your billing date is set from that payment. You authorise us and our payment provider to charge your saved payment method for recurring fees and for add-ons you buy.

3.3

Invoices issued outside checkout are due within 14 days unless your order says otherwise. Raise any billing dispute promptly and pay the undisputed amount on time. We correct substantiated billing errors.

3.4

If a payment fails, we notify you and may retry the charge. If an undisputed amount remains unpaid seven days after we notify you, we may pause automated replies until it is paid. Fees continue to accrue during a pause, and we restore service once payment is confirmed.

4. Conversations, allowances and add-ons

4.1

What counts as a conversation. A conversation is one customer thread on one channel in which Alfred handles messages. A new conversation is counted when Alfred handles or sends a message in a thread that has had no activity for 24 hours. Replies sent only by your staff, tests and simulations do not count. Each channel is counted separately.

4.2

Monthly allowance. Your plan’s allowance renews on each billing date. Unused conversations do not carry over and are not refunded.

4.3

Add-ons and top-ups. An add-on is either one-time or recurring, as shown when you buy it. It is charged when you buy it, and its conversations or features are added to your current billing month straight away. One-time top-ups apply only to the billing month in which you buy them. Recurring add-ons renew with your plan until you remove them under clause 2.4.

4.4

Alerts and pauses. We notify your account contact when you reach 80% and 100% of your balance. At 100%, Alfred stops sending automated replies until you upgrade, buy a top-up or reach your next billing date. New customer messages are still received and shown in your dashboard, and your staff can reply to them.

5. Your responsibilities and acceptable use

5.1

You are responsible for your users, their logins and the information you give Alfred. Keep your business information, prices and policies accurate, and nominate staff to handle handoffs and escalations.

5.2

Connect only accounts, numbers and calendars that you own or are authorised to manage. You authorise Alfred to take only the connected actions you enable, such as checking availability or creating bookings.

5.3

Platform rules. You must comply with the terms and policies of every platform you connect, including the WhatsApp Business Terms of Service and Business Messaging Policy, Meta’s Commerce Policy, the Messenger and Instagram platform policies, and Google’s API policies. These include rules on opt-in, message content, messaging windows and the types of business allowed. We encourage you to read them before you connect an account and to check them regularly, because platforms change them.

5.4

Platform restrictions. Each platform decides for itself whether to limit, restrict, suspend or ban an account, page or phone number, temporarily or permanently, and it may do so without warning or explanation. We do not control those decisions and cannot guarantee that a platform will not take action against your account or number, or that it will reverse an action. To the extent the law allows, we are not liable for any such action or for loss that results from it, including lost contacts, messages or business. A platform action does not entitle you to a refund or credit, and does not end a minimum term early. You can still cancel under clause 13.1.

5.5

You are responsible for the notices and consents your use of Alfred requires. This includes telling callers when calls are recorded or transcribed, and following Singapore’s Spam Control Act and the Do Not Call rules in the PDPA when Alfred sends messages that market your business.

5.6

You must not use Alfred if you are subject to sanctions, or to serve sanctioned people or territories, and you must comply with export control laws that apply to you.

5.7

You must not use Alfred to:

•

send spam or unsolicited promotional messages;

•

break the law, infringe others' rights or deceive people, including by impersonating a person or business you do not represent;

•

collect special categories of data, payment card numbers or government identification numbers through conversations unless we have agreed this in writing;

•

scrape or harvest data from connected platforms, or gain unauthorised access to any system; or

•

interfere with the service, test its security without our permission, or resell, copy or reverse engineer it except as the law allows.

6. AI output and human review

6.1

Alfred uses generative AI and can make mistakes, including inaccurate or incomplete answers. It works from the information and rules you approve. You must not present Alfred as a human.

6.2

Your staff remain responsible for decisions that need human judgement, including quotations, refunds, exceptions, payment checks and anything Alfred hands off. You can review conversations and take over any chat from the dashboard.

6.3

We are not responsible for a missed or delayed action where Alfred correctly recorded or handed off the request and your staff did not act on it. This does not limit our responsibility for our own failures under these terms.

7. Support and service operation

7.1

We provide Alfred with reasonable skill and care. Support is available by email from 9 am to 6 pm Singapore time on Singapore business days. Your order may add other support channels. Material incidents outside these hours receive best-efforts attention.

7.2

We use reasonable efforts to keep Alfred available, tell you without undue delay about known material outages and restore functions within our control. We do not guarantee uninterrupted or error-free service, or any business result.

7.3

Connected platforms such as Meta and Google can change or interrupt their services, and their outages are outside our control. When a platform is available again, we restore Alfred’s side of the connection promptly. Clause 5.4 covers action a platform takes against your account or number. Use your normal processes while automation is unavailable.

7.4

We may update and improve Alfred. We will not materially reduce the core functions of your paid plan during a billing month you have paid for.

8. Ownership and licence

8.1

“Customer Data” means the business information you supply, your approved knowledge base, your customer records and the conversations processed through Alfred. You own the business information, knowledge base and customer records you supply. Conversations are held in protected form and processed only under section 9; they are not exported (see clause 10.2).

8.2

We own Alfred, including its software, generic prompts and guardrails, reusable integrations, methods and know-how. While your subscription is active, we grant you a non-exclusive, non-transferable licence to use Alfred for your business.

8.3

If you send us suggestions about Alfred, we may use them without obligation to you.

9. Data processing

9.1

For personal data in Customer Data, you are the organisation that decides how it is used and we act as your data intermediary under Singapore’s Personal Data Protection Act 2012 (“PDPA”). You are responsible for your privacy notices and for having the consent or other lawful basis needed to use Alfred with that data.

9.2

We process Customer Data only to provide and support Alfred, on your documented instructions (these terms, your order and your configuration), or where the law requires. Our staff and contractors who access it are bound by confidentiality.

9.3

We apply reasonable security arrangements to protect Customer Data, including access controls, encryption in transit and restricted production access.

9.4

Subprocessors. You authorise us to use the providers listed on our Subprocessors page. We will give at least 14 days’ notice before adding or replacing a subprocessor. If you object on reasonable data protection grounds and we cannot address the objection, you may cancel the affected service without penalty and receive a refund of prepaid fees for the unused period. We remain responsible for our subprocessors and require them to protect the data to a standard comparable to the PDPA, including when they process it outside Singapore.

9.5

We do not use Customer Data to train general Alfred models or third-party foundation models. We may use anonymised, aggregated operational metrics to run and improve Alfred.

9.6

We will notify you without undue delay, and in any event within 48 hours, after we have reason to believe that a data breach affecting Customer Data has occurred. We will share what we know about it and help you meet your assessment and notification obligations.

9.7

We will reasonably help you respond to requests to access, correct or delete personal data in Alfred. Requests that need material custom work may be charged after we agree the cost with you.

10. Data return and deletion

10.1

Exporting customer records. If you ask us before your subscription ends or within 30 days afterwards, we will export your customer records in a commonly used electronic format for an additional fee, which we confirm with you before we start. To ask, email [email protected].

10.2

We do not export conversation history. Alfred holds it in protected form to operate the service, and the messages themselves remain in your accounts on the channels where they took place, such as WhatsApp. You can review conversations in your dashboard while your subscription is active.

10.3

After that 30-day period, or once we have delivered an export you asked for, if later, we delete Customer Data from active systems within 30 days, except billing and legal records that we must keep. Backups expire within 90 days after that deletion and are not used for any other purpose.

10.4

Sample messages you give us only for onboarding are deleted within 30 days after launch, or earlier on request. Data held in your own connected systems remains under your control.

11. Confidentiality and publicity

11.1

Each of us will keep the other’s non-public business, technical, financial and personal information confidential, use it only for this agreement and share it only with people who need it and are bound to protect it. This does not apply to information that is public, already lawfully held, independently developed or received without restriction. Disclosure required by law is permitted, with prior notice where lawful.

11.2

Confidentiality continues for three years after the agreement ends, and for as long as the law protects personal data and trade secrets.

11.3

We will not use your name, logo, quotes or results publicly without your prior written approval.

12. Liability

12.1

Our total liability under this agreement is limited to the higher of: (a) the fees you paid us under it in the 12 months before the event giving rise to the claim; (b) three months of your current subscription fees, excluding tax; or (c) S$100.

12.2

Neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or anticipated savings.

12.3

These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, your payment obligations, or any other liability that cannot lawfully be limited.

13. Cancellation, suspension and termination

13.1

Cancelling. You can cancel in Alfred’s billing area or by email at any time, with no notice period or cancellation fee. Cancellation takes effect at the end of your current billing month, or at the end of any longer minimum term in your order, whichever is later. We confirm the end date. Fees for a minimum term remain payable on their normal dates. Disconnecting a channel does not cancel your subscription.

13.2

No partial refunds. Fees already paid are not refunded for part of a month, unused conversations or one-time top-ups, except where these terms or the law provide otherwise.

13.3

Termination for breach. Either of us may end the agreement if the other materially breaches it and does not remedy the breach within 30 days of written notice, or immediately if the other becomes insolvent or stops doing business. If you end it for our uncured material breach, we refund prepaid fees for the unused period.

13.4

Non-payment. We may end your subscription if an undisputed amount remains unpaid 14 days after we pause automated replies under clause 3.4. Accrued fees and any minimum-term fees remain payable.

13.5

Suspension. We may immediately suspend all or part of the service where reasonably necessary to stop unlawful use, spam or a breach of section 5, to deal with a material security threat, or where a connected platform, regulator or court requires it. We will tell you promptly and restore the service once the issue is resolved. We may end the agreement immediately for a serious or repeated breach of section 5.

13.6

When the agreement ends, automated service stops and you lose access to the dashboard, including conversation history. Customer Data is then deleted under section 10. Sections on fees owed, platform restrictions, ownership, data return and deletion, confidentiality and liability continue as needed.

14. Changes to these terms

14.1

We may update these terms by publishing a new version on this page. We will keep earlier versions on the Legal page.

14.2

We give at least 30 days’ notice by email of material changes to these terms or to your recurring price. They apply from your next billing date after the notice period, or after your minimum term if later. If you do not agree, you may cancel before they apply.

14.3

Changes required by law may apply sooner, limited to what the law requires. An update to these terms never changes a signed order or an exception agreed in it.

14.4

If you subscribed before 1 October 2026 under earlier terms, these terms apply to you from the date stated in the notice we send you under clause 14.2.

15. General

15.1

Notices. We send notices to your account email. Send notices and cancellations to [email protected]. Our registered address is 33 Ubi Avenue 3, #08-68 Vertex, Singapore 408868.

15.2

Electronic acceptance and written approvals, including by email, record agreement. Neither of us may transfer this agreement without the other’s consent, which will not be unreasonably withheld, except to a successor to the relevant business that takes on its obligations.

15.3

Neither of us is liable for delay caused by events beyond our reasonable control if we give notice and take reasonable steps to limit the effect. Payment obligations already due remain due.

15.4

This agreement is the entire agreement on its subject. It replaces a separately signed contract only where both of us expressly agree. Only you and we may enforce it. If a provision is unenforceable, the rest continues.

15.5

Singapore law governs this agreement. Senior representatives will first try to resolve a dispute for 20 Singapore business days. After that, the Singapore courts have exclusive jurisdiction, without limiting either party’s access to the Small Claims Tribunals for eligible claims. Neither of us is prevented from seeking urgent relief from a court or recovering undisputed amounts due.
